I have two DCs in my network running win2k3. How can I make the second
one the schema master? would appreciate the help.

There can be only one schema master in an AD forest.  However, if you are
asking how to transfer the schema master to the second DC, see below.

FSMO movement:

Seizing roles.  You don't need (and don't want) the original server online
when seizing an FSMO role.  To seize the roles, you run ntdsutil and bind to
another working DC  and then seize from the DC that is no longer up (and
never should come back up ever again after the roles are seized).
