I have a 4 processor, 32GB Win2003 Ent. server machine.  As far as I know
it's not doing anything different from an identical server that has only 2
processors and 4 GB of memory, but a reboot on the 32 GB machine takes 1
hour and 15 minutes while it takes about 5 to 10 minutes on the 4 GB
machine.  Is it likely to be the amount of memory causing the problem or is
there something else I should look at?

Only basic services installed by default.  This machine is a Data
Warehouse/Reporting server, it has SQL Server 2000, Cognos Report Net and
IIS and that is all the custom stuff that was installed.  The Other machine
with only 4GB of memory was configured exactly the same and is a "test"
server for reports/db's etc before they get pushed to production server.

Mercury
Do you have extended memory testing enabled?

Where in the process does it consume more time than you would expect?

Are the DNS, Gateway and other IP settings correct?

Anything unusual / errors in the event log?

I've monitored the event log and both the Application and System logs show a
gap with nothing recorded between 11:30 (last event logged during shutdown)
and 12:45 (first event logged after restart).  There are no entries in
between to identify what might be causing the slowdown.  Are there any
memory checks that might be being performed during boot that would make a
large memory machine slow?  The machines are HP Proliant DL740R, 4 processor
machines.

Have you tried enabling boot logging? Press F8 during startup, select Enable
Boot Logging, then once system has booted and you've logged on, check the
Ntbtlog.txt file in the %SystemRoot% folder, might give some clues to what's
going on...

Thanks to everyone for the suggestions.  As it turns out I believe it was
due to the size of the swap file.  With 32GB of ram we had a 32GB swap file
and there is a security requirement that the swap file must be completely
initialized (written over) during the shutdown processes.  It seemed to be
taking just over an hour for this process to complete.  I reduced the swap
file to 4GB and the reboot time is down to 15 minutes.
